Kwent AI – MSG-GROK Terms of Service

These terms govern the MSG-GROK Messenger auto-reply service ("Service") provided by Kwent AI, operated by Kwent IT Solutions (DTI registration pending), Parañaque City, Philippines ("we", "us"), to the business that subscribes ("you"). By paying for or using the Service, you agree to these terms.

1. The Service

MSG-GROK connects to your Facebook Page and automatically replies to customers who message the Page, using an FAQ you approve. When it can't answer or a customer asks for a person, it alerts your staff (for example in a private Telegram group) so a human can take over. It identifies itself as an automated assistant. It only replies to customer-initiated conversations within Messenger's 24-hour reply window and does not send broadcasts or promotions.

2. Plans and prices

• One-time setup fee: PHP 4,990. First payment is the setup fee plus the first month (Basic PHP 6,980; Pro PHP 8,480).
• Overage: about PHP 1 per message above your plan's included messages.
• Prices may change with at least 30 days' notice before your next billing period.
• Taxes and official receipts will be issued as required once our business registration is complete.

3. Payment

Fees are paid monthly in advance via the GCash or UnionBank QR codes we provide; send proof of payment in Messenger or by email. Setup begins once payment is confirmed by our team. If a monthly fee is unpaid more than 7 days after it is due, we may pause the Service until paid.

4. Your responsibilities

• You own or are authorized to manage the Facebook Page, and you grant us the Page access needed to run the Service. You may remove our access at any time (this stops the Service).
• You provide accurate FAQ content (products, prices, hours, policies) and approve it before go-live. You are responsible for the accuracy of the information the assistant gives from your FAQ.
• You comply with Meta's terms and policies, Philippine law including the Data Privacy Act of 2012, and you tell your customers how their data is used (for example in your Page's own privacy notice).
• You won't use the Service for spam, unlawful, deceptive, or prohibited products or content.

5. Data

Your customers' messages are processed only to provide the Service, as described in our Privacy Policy. We never sell them or use them for advertising. Deletion requests follow our Data Deletion Instructions.

6. Availability and limits

The Service depends on third-party platforms (Meta, Make.com, AI model providers, Telegram). We work to keep it running but do not guarantee uninterrupted or error-free operation, and we are not responsible for outages or policy changes by those platforms. AI replies can occasionally be wrong; the assistant is designed to hand off to your staff rather than guess, and you should monitor alerts.

7. Cancellation

You may cancel at any time by messaging or emailing us; cancellation takes effect at the end of the current paid month. Fees already paid, including the setup fee, are not refunded except where required by law or where we fail to deliver the setup. On cancellation we turn off the bot and automation for your Page, and you should remove our Page access; your data is exported on request and deleted as described in the Data Deletion Instructions. We may end the Service with 30 days' notice, or immediately for serious breach of these terms or of Meta's policies.

8. Liability

To the extent allowed by law, the Service is provided "as is", and our total liability for any claim is limited to the fees you paid us in the 3 months before the claim. We are not liable for indirect or consequential losses such as lost sales or profits.

9. Changes

We may update these terms; material changes will be notified at least 30 days in advance. Continued use after that means you accept the updated terms.

10. Governing law

These terms are governed by the laws of the Republic of the Philippines. Disputes will first be discussed in good faith; if unresolved, they will be brought before the proper courts of Parañaque City.
